Terms of Service

Effective date: January 1, 2026

These Terms of Service ("Terms") govern your use of jarviscyberadvisory.com and any services provided by Jarvis Cyber Advisory LLC ("Jarvis Cyber Advisory," "we," "our," or "us"). By accessing the website or engaging us, you agree to these Terms.

1. Services

Jarvis Cyber Advisory provides cybersecurity advisory and consulting services, including security baseline assessments, virtual CISO and fractional security advisory, compliance readiness preparation, FedRAMP advisory, and external attack surface assessments. The specific scope, deliverables, fees, and timeline of any engagement are defined in a separate written engagement agreement, statement of work, or master services agreement (each, an "Engagement Agreement") executed by both parties.

Some services — including FedRAMP advisory and engagements involving federal government data, controlled unclassified information (CUI), or other regulated data — may be subject to additional eligibility, jurisdictional, and information-handling requirements. These will be specified in the applicable Engagement Agreement before any work begins.

2. Engagement Agreements Control

To the extent any provision of an Engagement Agreement conflicts with these Terms, the Engagement Agreement controls with respect to the engagement it governs. These Terms apply to general use of the website and to inquiries that have not yet matured into an Engagement Agreement.

3. No Guarantee of Outcomes

Cybersecurity is an evolving discipline and depends on factors outside our control, including the actions of third parties, the configuration of client-controlled systems, and the emergence of new threats. We do not guarantee that any assessment, recommendation, or service will prevent a security incident, achieve a specific compliance outcome, or eliminate risk. Our services provide professional advice based on information available at the time of delivery.

4. Confidentiality

We treat client information shared during an engagement as confidential and use it only for the purposes of the engagement. Confidentiality terms are further detailed in the applicable Engagement Agreement.

5. Fees and Payment

Fees, payment schedule, and accepted payment methods are specified in the Engagement Agreement. Invoices are processed through Stripe and are due according to the terms stated on the invoice. Late payments may accrue interest at a rate specified in the Engagement Agreement or, if not specified, at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

6. Cancellation and Refunds

Cancellation and refund terms are described in our Cancellation & Refunds Policy and in the applicable Engagement Agreement.

7. Intellectual Property

Unless otherwise specified in an Engagement Agreement, deliverables prepared specifically for a client become the client's property upon full payment. Methodologies, tools, templates, and pre-existing materials remain the intellectual property of Jarvis Cyber Advisory. Website content, including text, graphics, and the Jarvis Cyber Advisory logo, is owned by Jarvis Cyber Advisory and may not be reproduced without written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Jarvis Cyber Advisory's aggregate liability arising out of or related to an engagement is limited to the fees paid by the client for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities, even if advised of the possibility of such damages. Specific liability terms may be modified in an Engagement Agreement.

9. Indemnification

Each party agrees to indemnify the other for third-party claims arising from its own gross negligence, willful misconduct, or material breach of these Terms or an applicable Engagement Agreement, subject to any further limits stated in the Engagement Agreement.

10. Website Use

You agree not to: (a) use the website for any unlawful purpose; (b) attempt to gain unauthorized access to systems or data; (c) interfere with the operation of the website; or (d) reproduce or distribute content from the website without permission.

11. Governing Law

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict-of-law principles. Disputes arising from these Terms or use of the website will be resolved in the state or federal courts located in Idaho. Engagement Agreements may specify alternative dispute resolution procedures.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance of the updated Terms. The "Effective date" reflects the most recent revision.
